President Ken Emerson called to order the regular monthly meeting of the Walnut Creek South Homes Association on Thursday, March 12, 2020 at 7:01 P. M. at the Association Clubhouse. Board members in attendance were, Carol Arnold, Gary Droege, Ken Emerson, Jacqui Maiseroulle, Howard Matteson, and Jay McMinn. Carol Franklin, Halley Freeman, and Tyler Unsell was unable to attend. Also in attendance were Office Manager Sherri Smith and residents on the attendance list (Attachment 200312-1). Members were provided with an agenda for the meeting. (Attachment 200312-2)

President Ken Emerson welcomed the guest.

GUEST CONCERNS โ€“ Ms. Coleman expressed her concerns about construction vehicles at the end ofย ย ย  Michaels Cove.

APPROVAL OF MINUTES โ€“ Jacqui Maiseroulle made a motion to accept the February 13, 2020 meeting minutes, seconded by Carol Franklin. The motion passed unanimously.

ADDITIONS TO THE AGENDA โ€“ Coronavirus

OLD BUSINESS:

Restrictions Privileges Suspension โ€“ Jacqui Maiseroulle made a motion to suspend membership privileges on the existing noncompliant homes, seconded by Gary Droege. The motion passed unanimously. (Attachment 200312-3).

Swim Team – Jacqui Maiseroulle will work as the Swim Team liaison to prepare for the season.

Website โ€“ Mike Howell updated the Board on the progress of the website.

Collections – ย Howard Matteson made a motion to move forward with turning over the high Liens to the Attorney for the collection process, seconded by Jacqui Maiseroulle. The motion passed unanimously.

Banking โ€“ After showing research Jacqui Maiseroulle made a motion to move our Association accounts to Equity Bank, seconded by Ken Emerson. The motion passed unanimously.

NEW BUSINESS:

By- Law Amendment – Jacqui Maiseroulle made a motion to amend the Capital Expenditure By-Law to read โ€œThe Board of Directors shall not authorize, contract for, or approve any one capital expenditure, excluding repairs and maintenance, in excess of Twenty Five Thousand Dollars ($25,000.00) without the express approval of fifty-one percent (51%) of those members present at a meeting called for the purpose of approving such an expenditure.โ€, seconded by Carol Arnold. The motion passed unanimously.

New Membership โ€“ The Board will investigate on how to proceed with upgrading Walnut Creek non-members.

Coronavirus โ€“ In light of the Coronavirus spread and guidelines given Gary Droege made a motion to cancel all clubhouse reservations and activities until the next Board Meeting, seconded by Carol Arnold. The motion passed.

Committee Reports were presented and discussed.
