President Josh Owenby called to order the regular monthly meeting of the Walnut Creek South Homes Association on Thursday, December 08, 2022, at 7:00 P. M. at the Association Clubhouse. Board members in attendance were Ed Cayton, Josh Owenby, Bryce Palmer, Carly Rouse, and Kim Wilhoite. Unable to attend was Carol Arnold, Carol Franklin, and Jay McMinn. Also in attendance were Office Manager Angela Ray and residents on the attendance list (Attachment 221208-2). Members were provided with an agenda for the meeting (Attachment 221208-1).
President Josh Owenby welcomed the guests.
APPROVAL OF MINUTES – Ed Cayton made a motion to accept the October 13, 2022 meeting minutes, seconded by Kim Wilhoite The motion passed with (1) one abstained.
Ed Cayton made a motion to accept the November 1, 2022, special meeting minutes, seconded by Kim Wilhoite The motion passed with (1) one abstained.
Ed Cayton made a motion to accept the November 10, 2022, annual meeting minutes, seconded by Kim Wilhoite The motion passed with (1) one abstained.
Ed Cayton made a motion to accept the November 10, 2022, annual meeting minutes, seconded by Bryce Palmer The motion passed with (1) one abstained.
OLD BUSINESS:
Restrictions Privileges Suspension – Ed Cayton made a motion to suspend membership privileges on the existing non-compliant homes, seconded by Carly Rouse. The motion passed unanimously. (Attachment 221208-3).
NEW BUSINESS:
Approval for use of Clubhouse – The board unanimously approved to allow Carol Franklin’s family the use of the clubhouse for her memorial service.
Approval of New Board Member – Bryce Palmer nominated Janette Hale to one of the empty positions on the board. Bryce Palmer made a motion to accept her for a three year term, seconded by Ed Cayton
Appointment of Officers – Josh Owenby made a motion to approve the 2023 officers: Josh Owenby President, Ed Cayton Vice President, Carly Rouse, Secretary, and Kim Wilhoite Treasurer, seconded by Kim Wilhoite. The motion passed unanimously.
Committee Assignments – Committee assignments were set for 2023.

At 7:38 p.m. Carly Rouse made a motion that the meeting be adjourned, seconded by Ed Cayton. The motion passed unanimously.
